NOTICE OF PROPOSED CHANGES IN THE REGULATIONS OF THE DEPARTMENT OF COMMERCE, COMMUNITY, AND ECONOMIC DEVELOPMENT

Brief Description:  The Department of Commerce, Community, and Economic Development proposes to set fees and adopt conforming language pertaining to the regulation of business corporations, nonprofit corporations, limited liability companies, and other business entity types, to establish a new section that regulates statements of mergers, interest exchanges, conversions and domestications, and other provisions required to implement the statutory amendments made in Chapter 60, SLA 2013 (an act adopting the Alaska Entity Transactions Act).

The Department of Commerce, Community, and Economic Development proposes to adopt regulation changes in Title 3, Chapter 16 of the Alaska Administrative Code, dealing with fees for initial reservation or registration of a business name, fees and charges for limited liability partnerships, fees for copies, fees for accepting service of process, fees for filing any other instrument, fees for expedited filings and copies, determining distinguishable names, electronic signatures, and fees and charges for filing, including the following:

1.  3 AAC 16.010, Fee for reservation, registration, or renewal of a reserved or registered business name under AS 10.06, AS 10.15, AS 10.20, AS 10.25, AS 10.35, AS 10.40, AS 10.45, AS 10.50, AS 32.06, or AS 32.11, is proposed to be changed to alter the renewal requirements for a business name reservation.

2.  3 AAC 16.055, Fees and charges for limited liability partnership under AS 32.06, is proposed to be changed to update the statutory references relating to fees and charges for domestic or foreign limited liability partnerships.

3.  3 AAC 16.080, Fees for copies, is proposed to update the authority citation consistent with the statutory amendments made in Chapter 60, SLA 2013.

4.  3 AAC 16.090, Fee for accepting service of process, is proposed to update the authority citation consistent with the amendments made in Chapter 60, SLA 2013.

5.  3 AAC 16.100, Fee for filing any other instrument, is proposed to update the authority citation consistent with the amendments made in Chapter 60, SLA 2013.

6.  3 AAC 16.105, Fee for expedited filings and copies, is proposed to update the authority citation consistent with the amendments made in Chapter 60, SLA 2013, and to alter the provisions related to requests for expedited filings and copies.

7.  3 AAC 16.120, Determining distinguishable names, is proposed to update the authority citation consistent with the statutory amendments made in Chapter 60, SLA 2013.

8.  3 AAC 16.130, Electronic signatures, is proposed to be changed to alter the requirements for electronic signatures.

9.  3 AAC 16.140, Fee and charges for filing under AS 10.55, is a proposed new section that establishes fees and charges for filing statements of mergers, interest exchanges, conversions, and domestications.

If the Department of Commerce, Community, and Economic Development adopts the proposed regulations described above, the earliest date that they could take effect is July 1, 2014, the effective date of the statutory changes made under Chapter 60, SLA 2013.

After the public comment period ends, the Department of Commerce, Community, and Economic Development will either adopt these or other provisions dealing with the same subject, without further notice, or decide to take no action on them.  The language of the final regulations may be different from that of the proposed regulations.  You should comment during the time allowed if your interests could be affected.  Written comments received are public records and are subject to public inspection.
